Schedule G: Task Outsourcing

This Schedule outlines the terms applicable to task outsourcing engagements: expert capacity provided on an ad hoc, hourly or retainer basis across development, data science, marketing and related services, without an ongoing full engagement.

1. Scope of Services

Task outsourcing covers individually agreed tasks, such as changes, upgrades, integrations, analyses, campaigns or maintenance work. Each task is defined in writing (email or messaging is sufficient). Anything not expressly agreed is out of scope.

2. Retainers & Hours

Retainers are based on an estimated average number of hours over an agreed period. Unless expressly agreed otherwise in writing, unused hours do not roll over, are not refundable and expire at the end of each billing period.

Work exceeding the agreed retainer volume is billed at the agreed hourly rate. Keferboeck Ltd. will flag foreseeable overages before they are incurred where reasonably possible.

Hourly work is billed in reasonable increments and documented on request.

3. Availability & Response Times

Task outsourcing does not include guaranteed availability, response times or service levels unless expressly agreed in writing. Keferboeck Ltd. schedules tasks with reasonable diligence around existing engagements, and urgent work may be subject to prioritisation and surcharges agreed in advance.

4. Intellectual Property

Intellectual property in work delivered under task outsourcing transfers to the Client upon full payment for the relevant task, in accordance with the general Terms. Pre existing tools, libraries and frameworks of Keferboeck Ltd. remain excluded.

5. Termination

Either party may end a task outsourcing arrangement with 14 days' written notice. Tasks completed or in progress up to that point are payable in full.

6. Liability

Liability for task outsourcing services is limited to the fees paid in the prior 3 months. Indirect and consequential damages are excluded.
