Schedule H: GrowCentric.ai Access

1. Product Status

GrowCentric.ai is a product of Keferboeck Ltd. and is under active development. Individual features may be in beta, generally available, or withdrawn. Keferboeck Ltd. alone decides which features exist, which are in beta, and for how long a feature remains in beta.

Descriptions of GrowCentric.ai on this website are descriptions of the product vision and of features that may be offered. They are not a contractual promise that any specific feature is available now or will become available.

2. Beta Access

Access to beta features is granted at the sole discretion of Keferboeck Ltd., on invitation, and creates no entitlement of any kind. There is no promise of availability, performance, continuity or support for beta features. Beta features may be changed, paused or withdrawn at any time without notice and without liability.

Beta access is offered so that features can be tested against real businesses before general release. It may be limited to selected clients, industries or data volumes, and may be declined or revoked without reasons being given.

3. Included Access After Beta

When a feature leaves beta and becomes a fixed part of the GrowCentric.ai offering, eligible clients (see below) receive access to that feature at no licence cost for a limited period: by default six months from the date the client's access to the generally available feature set is activated, unless a different period is communicated at activation. The period runs once per client, not per feature; features leaving beta later simply join the client's running period.

Included access is a goodwill benefit tied to an active engagement. It creates no acquired rights, does not extend beyond the communicated period, and ends automatically when the engagement ends. At the end of the period, continued access may be offered as a paid subscription at the then current pricing; access is never converted to a paid subscription without the client's express agreement, it simply pauses until agreed.

4. Eligibility

Included access is available only to clients who pay the full prices advertised on this website for their engagement. For clarity:

• Generic offers published on this website to the public, such as the newsletter welcome voucher, published promotions, and credits earned under the client referral programme, do not affect eligibility.
• Individually negotiated price reductions of any kind, such as a bespoke discount on monthly fees agreed on request, end eligibility for included access. Access may then be offered as a paid subscription instead.

Keferboeck Ltd. may confirm eligibility in writing at the start of an engagement. Where eligibility ends during an engagement, included access ends with effect from the next billing period.

5. Agencies and Partners

Agencies, partner agencies, white label partners, recruiters and other intermediaries have no right to free access to GrowCentric.ai, regardless of the commercial relationship. Any access granted to a partner, and its conditions, is at the sole discretion of Keferboeck Ltd.

6. AI Usage Costs

Features that consume AI capacity incur usage based costs (for example per token used). These costs are always borne by the client, including during beta and during included access periods. Usage and the resulting costs are shown transparently, and once available, as a live count and cost display in the GrowCentric.ai dashboard.

Usage costs are invoiced monthly. Rates follow the underlying AI provider prices and may be adjusted with effect from the following month by notice. Keferboeck Ltd. may require a monthly usage cap or prepaid budget, and clients may request a cap at any time; when a cap is reached, AI features pause rather than accrue further costs.

7. Data Protection

Where GrowCentric.ai processes personal data from a client system, it does so on the client's behalf under the data processing agreement in place between the parties. GrowCentric.ai is operated on infrastructure in the United Kingdom; for clients in the EU, transfers rest on the European Commission adequacy decision for the United Kingdom, and the applicable data processing agreement identifies this processing and its location.

Keferboeck Ltd. may use aggregated, anonymised data derived from the use of GrowCentric.ai, which identifies neither the client nor any person, to improve the product and for benchmarking across the platform.

8. No Warranty, Automated Recommendations

GrowCentric.ai, and beta features in particular, are provided as is. No uptime, accuracy or fitness guarantees are given unless separately agreed in writing. Insights, forecasts and automated recommendations (for example budget allocations or pricing signals) are decision support; commercial decisions and their outcomes remain the client's responsibility.

Liability in connection with GrowCentric.ai is limited to the fees actually paid for GrowCentric.ai access and usage in the three months preceding the event giving rise to the claim. Nothing in this Schedule limits liability that cannot lawfully be limited.

9. Feedback

Feedback, bug reports and feature suggestions relating to GrowCentric.ai may be used by Keferboeck Ltd. without restriction or compensation to improve the product.

10. Termination of Access

Access to GrowCentric.ai ends when the underlying engagement ends, when a communicated included access period expires, or on 14 days' notice. Export of the client's own raw data is supported before access is closed; derived models, benchmarks and platform functionality remain with Keferboeck Ltd.
