Schedule F: Consulting & Advisory

1. Scope of Services

Consulting engagements may include strategic planning, growth audits, marketing and tech advisory, infrastructure evaluations, platform recommendations, hiring support, and product-market fit exploration.

2. Engagement Structure

Advisory services can be provided on a retained basis, project basis, or hourly consultation. Details including deliverables and duration will be agreed in advance.

3. Role Definition

Keferboeck Ltd. may act in an embedded or external capacity (e.g. fractional CMO/CTO). Roles and responsibilities will be explicitly defined in writing at the start of the engagement.

4. Strategic Input vs. Implementation

Unless otherwise agreed, advisory services do not include implementation. If execution support is needed, it will be scoped and billed separately.

5. Confidentiality & Conflicts

All shared information is treated as confidential. Keferboeck Ltd. will disclose any known conflicts of interest prior to engagement or upon discovery.

6. Intellectual Property

Strategy documents, frameworks, and assessments remain the intellectual property of Keferboeck Ltd. unless expressly transferred. Clients receive a usage license within the agreed scope.

7. Advice Disclaimer

All strategic advice is based on available information and industry best practices. Keferboeck Ltd. is not liable for outcomes resulting from client decisions or third-party actions.

8. Feedback & Adjustments

Advisory sessions are collaborative. Feedback loops are expected to ensure relevancy. Substantial adjustments in focus or deliverables will be agreed upon in writing.

9. Termination

Either party may terminate the engagement with 14 days’ written notice. Completed sessions or documents are billable in full.

10. Liability

Liability for advisory services is limited to the fees paid in the last 3 months. Keferboeck Ltd. is not liable for indirect, incidental, or consequential damages.
